Terms of Sale & Use

1. Who you are contracting with

The kits and materials are produced and published by VARVICO, a practitioner-run project based in Romania ("we", "us" — the content provider). Your purchase contract is with our merchant of record, Lemon Squeezy, which is the seller of record for the transaction and handles checkout, invoicing and EU VAT. The merchant of record's own terms apply to the payment and sale alongside these terms.

2. What you are buying

Downloadable, editable compliance document templates (Word/Excel) and related materials. They are starting points that you must adapt to your organisation — not completed, ready-to-file documents, and not legal advice. You are responsible for reviewing and adapting every document, and for having qualified counsel review it, before you rely on it.

3. Licence

On payment, we grant you a non-exclusive, non-transferable licence to use the templates as follows:

• Standard licence (individual / entity) — use and adapt the products within your own organisation, with reasonable internal copies inside the same legal entity that purchased them.
• Consultant licence — to use the products across multiple client engagements, buy the consultant tier (or contact us). Each engagement may keep a copy of the completed work products, but you may not distribute the blank/original template to clients or third parties as a standalone deliverable.
• You may not resell, redistribute, sub-license or publish the templates themselves, as supplied, outside that licence.

4. Acceptable use

You may not resell, share or redistribute the templates as supplied; remove our notices, the Currency Stamp or the "not legal advice" disclaimers; or use the materials unlawfully. Adapted, organisation-specific documents you produce from the templates are yours to use internally under the licence above.

5. Intellectual property

We (and our licensors) retain all intellectual-property rights in the templates, their structure and the VARVICO brand. The licence in section 3 does not transfer ownership.

6. No warranty; not legal advice; limitation of liability

The templates are practitioner-built starting points and do not constitute legal, regulatory or professional advice. We do not warrant that using them makes you, or keeps you, compliant with the Cyber Resilience Act or any other law or regulation, nor that they fit your specific circumstances. They are provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law.

To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental or consequential loss, or for any regulatory finding, penalty, business loss or damage arising from your use of, or reliance on, the templates. Our total liability for any claim arising from or related to your purchase will not exceed the amount you paid for the product in question, regardless of the legal theory (contract, tort, negligence, strict liability or otherwise).

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including your mandatory consumer-protection rights.

7. Delivery

Products are delivered digitally — you receive a download link immediately after successful payment through the merchant of record. Your download remains available from the purchase-confirmation email; if a link expires or you need to re-download, email contact@varvico.com with your order number and we'll restore access.

8. Price & VAT

Prices are shown in euro (€). VAT is calculated and handled by the merchant of record (Lemon Squeezy) at checkout, and shown before you pay.

9. Right of withdrawal & refunds

We offer a 30-day satisfaction guarantee — see our Refund Policy. For digital content supplied immediately, EU consumer law may require you to acknowledge that you lose the statutory 14-day right of withdrawal once download begins. At checkout you confirm that delivery begins immediately and acknowledge the loss of that withdrawal right; this consent is captured by our merchant of record before payment completes.

10. "Kept Current" updates (if purchased)

If you add Kept Current, you receive updates to your kit as the regulation changes for €90 per year, renewing annually; you can cancel at any time. Each renewal covers all updates to that kit's documents and Currency Stamp for a further year; cancel anytime from the link in your renewal receipt or by emailing contact@varvico.com, and cancellation stops future charges without affecting the current term.

11. Governing law & jurisdiction

These terms are governed by the laws of Romania and applicable EU regulations, and disputes are subject to the exclusive jurisdiction of the Romanian courts, without prejudice to any mandatory consumer-protection rights in your country of residence and to the merchant of record's own terms.

12. Changes to these terms

We may update these terms; the version in force at the time of your purchase applies to that purchase.
